AI governance framework: building responsible AI policies

Artificial intelligence is moving from experiment to enterprise at remarkable speed. Why AI governance matters now

Organisations that build governance now will be ahead of the curve when regulations tighten.

Operational risk

AI systems that aren’t properly governed can produce outputs that drive poor decisions. A model trained on biased data will produce biased predictions. A model whose accuracy degrades over time without monitoring will quietly deliver worse and worse results. Without governance, there’s no mechanism to catch these problems.

Data security risk

Many AI tools - particularly generative AI services - process data externally. Without clear policies, employees may input confidential business information, client data, or proprietary code into AI tools that use that data for model training or that store it in jurisdictions that conflict with your data sovereignty requirements.

Key components of an AI governance framework

1. Acceptable use policy

Define what AI tools and applications employees may use, for what purposes, and with what data. This is the most immediate and impactful governance control you can implement.

  • Approved tools - which AI tools are sanctioned for use (e.g., specific enterprise AI platforms vs free consumer tools)
  • Data classification - what types of data may be processed by AI tools (public data may be fine; client data and personally identifiable information likely are not)
  • Use cases - approved uses (drafting content, analysing data, coding assistance) vs prohibited uses (making final hiring decisions, autonomous customer-facing communications without review)
  • Output review - requirements for human review before AI-generated content is published, decisions are acted on, or code is deployed

2. Risk classification

Not all AI use cases carry the same risk. A chatbot that helps employees find HR policies is materially different from an algorithm that determines credit approvals. Your governance framework should classify AI applications by risk level:

  • Minimal risk - internal productivity tools with no impact on external stakeholders (e.g., meeting summarisation, code completion)
  • Limited risk - tools that influence but don’t determine decisions, or that interact with external parties with appropriate transparency (e.g., AI-assisted customer support with human escalation)
  • High risk - systems that make or materially influence consequential decisions affecting individuals (e.g., automated underwriting, hiring screening, fraud detection)
  • Unacceptable risk - applications that conflict with your values, legal obligations, or ethical standards (e.g., covert surveillance, social scoring, manipulation)

Higher risk levels require more rigorous oversight: impact assessments, bias testing, explainability requirements, and ongoing monitoring.

3. Data governance for AI

AI systems are only as good as the data they consume. Specific data governance requirements for AI include:

  • Training data quality - ensuring data used to train or fine-tune models is accurate, representative, and appropriately sourced
  • Data minimisation - processing only the data necessary for the specific AI application
  • Consent and lawful basis - ensuring personal data used in AI systems complies with POPIA’s requirements for lawful processing
  • Data lineage - tracking where data came from, how it was processed, and what decisions it influenced
  • Retention and deletion - ensuring AI systems comply with your data retention policies

4. Bias monitoring and fairness

AI systems can perpetuate and amplify existing biases in data, producing unfair outcomes along lines of race, gender, age, or other protected characteristics. In South Africa’s context, with its particular history and constitutional emphasis on equality, this is especially important.

Bias monitoring includes:

  • Pre-deployment testing - evaluating model outputs across different demographic groups before deployment
  • Ongoing monitoring - continuously measuring fairness metrics in production
  • Remediation processes - defined procedures for addressing identified bias, including model retraining, output adjustment, or system withdrawal
  • Feedback mechanisms - channels for affected individuals to challenge automated decisions

5. Transparency and explainability

Stakeholders - whether customers, employees, or regulators - increasingly expect to understand when and how AI is involved in decisions that affect them.

Transparency requirements should cover:

  • Disclosure - informing individuals when they’re interacting with an AI system or when AI significantly influenced a decision affecting them
  • Explainability - for high-risk applications, being able to explain in understandable terms why the AI produced a particular output
  • Documentation - maintaining records of AI system design, training, testing, and deployment decisions

6. Accountability and ownership

Every AI system should have a clear owner accountable for its performance, compliance, and risk management. Accountability structures should define:

  • System owners - the business function responsible for each AI application
  • Technical owners - the team responsible for maintenance, monitoring, and incident response
  • Executive sponsor - senior leadership accountability for the organisation’s overall AI programme
  • Escalation paths - clear processes for raising concerns about AI system behaviour

Aligning AI governance with broader strategy

AI governance doesn’t exist in isolation. It should integrate with your AI strategy and business integration roadmap, ensuring that governance enables rather than blocks strategic AI initiatives. Similarly, it should align with your broader IT governance, risk, and compliance framework - many AI governance principles (data governance, risk classification, access controls) are extensions of existing GRC practices.

Implementation steps

Phase 1: Foundation (months 1–3)

  1. Inventory current AI use - discover what AI tools and systems are already in use across the organisation, including shadow AI (tools adopted without IT knowledge)
  2. Draft acceptable use policy - establish immediate guardrails for AI tool usage and data handling
  3. Assign initial ownership - identify who is responsible for AI governance and ensure they have executive support
  4. Communicate broadly - share the acceptable use policy with all employees and provide basic guidance

Phase 2: Structure (months 3–6)

  1. Establish a governance committee - cross-functional representation from IT, legal, compliance, HR, and key business units
  2. Develop risk classification framework - create criteria for categorising AI applications by risk level
  3. Implement AI impact assessments - require formal assessment for high-risk AI applications before deployment

  1. Implement monitoring - deploy tools and processes for ongoing model performance, bias, and compliance monitoring
  2. Establish audit processes - regular reviews of AI systems against governance requirements
  3. Develop training programme - role-specific training on AI governance for developers, business users, and leadership
  4. Review and update - governance frameworks must evolve with technology and regulation; schedule regular reviews

Governance committee structure

A functional AI governance committee typically includes:

  • Chair - CTO, CIO, or Chief Data Officer
  • Legal/compliance - ensuring alignment with POPIA, sector regulations, and emerging AI legislation
  • Information security - assessing data security and privacy risks
  • HR - addressing workplace AI use, employee data, and hiring algorithm governance
  • Business unit representatives - ensuring governance is practical and doesn’t impede legitimate use
  • Ethics representative - may be internal or an external advisor, providing perspective on societal impact

The committee should meet regularly (monthly during establishment, quarterly once mature), review new AI deployment requests, assess incidents, and update policies as needed.

Monitoring and audit

Governance without monitoring is just policy on paper. Effective AI governance requires:

  • Automated monitoring - tracking model accuracy, drift, fairness metrics, and data quality indicators in production
  • Incident logging - recording AI-related incidents (errors, bias complaints, security events) and analysing patterns
  • Periodic audits - structured reviews of AI systems, governance compliance, and policy effectiveness
  • Regulatory tracking - monitoring evolving AI regulations across relevant jurisdictions and updating governance requirements accordingly
